Job description

Our client, a well-established and rapidly growing financial services institution, is seeking an experienced Vice President - Corporate Actions to lead a critical operations function supporting a broad range of securities and investment products.

This is an excellent opportunity for a seasoned corporate actions professional with strong leadership capabilities, solid operational risk awareness, and extensive knowledge of equity and income events across global markets. The successful candidate will oversee daily processing activities, drive process improvements, and play a key role in transformation initiatives and platform enhancements.

Key Responsibilities

• Lead and oversee the day-to-day operations of the Corporate Actions team, ensuring accurate and timely processing of all mandatory and voluntary corporate action events.
• Manage the end-to-end lifecycle of events including:
• Rights Issues
• Stock Splits
• Spin-offs
• Redemptions
• Bonus Issues
• Conversions
• Takeovers and Mergers
• IPOs and Placings
• Proxy Voting
• Other market-driven corporate action events
• Ensure clients receive timely notifications and information ahead of critical election and response deadlines.
• Maintain effective controls and procedures to manage client instructions, enquiries, and exception handling.
• Ensure the accuracy and integrity of corporate action records and data maintained within internal systems.
• Prepare US income tax reconciliations and support annual US tax return filing requirements with the IRS.
• Develop, review, and continuously enhance operational procedures, ensuring documentation remains accurate and up to date.
• Identify operational risks, challenge existing workflows, and drive process optimization initiatives to improve efficiency, control, and service quality.
• Partner with internal stakeholders across Operations, Technology, Risk, Compliance, and Front Office teams to resolve complex operational issues.
• Participate in strategic transformation projects, system migrations, and platform enhancements, including UAT planning and execution.
• Lead, coach, and develop team members while fostering a culture of operational excellence and continuous improvement.

Requirements

• Bachelor's degree or equivalent professional qualification.
• Minimum 8 years of corporate actions experience within financial services, securities services, brokerage, wealth management, custodian banking, or investment operations.
• Strong knowledge of corporate actions processing and market practices across equities and fixed income products.
• Experience supporting the US market and related tax processing is highly advantageous.
• Proven leadership experience managing teams and driving operational effectiveness.
• Strong understanding of operational controls, risk management, and regulatory requirements.
• Excellent analytical and problem-solving skills with the ability to make sound decisions independently.
• Demonstrated experience managing multiple priorities and delivering results under tight deadlines.
• Strong stakeholder management and communication skills, with the ability to engage effectively with senior management and external counterparties.
• Experience participating in business transformation initiatives, system implementations, and UAT activities.
• High level of integrity, professionalism, and commitment to operational excellence.
• Fluent spoken and written English, Cantonese, and Mandarin.
