Role Overview
As Legal Counsel specializing in M&A, you will play a pivotal role in driving mergers, acquisitions, financing, restructuring, and other strategic transactions. Your expertise will ensure seamless execution, regulatory compliance, and risk mitigation across corporate initiatives, allowing the company to maintain its competitive edge.
Key Responsibilities
- Provide legal counsel for mergers, acquisitions, and strategic corporate transactions.
- Conduct due diligence, draft, review, and negotiate complex transaction documents.
- Advise and collaborate with stakeholders, ensuring regulatory compliance and risk management.
- Offer guidance on corporate governance, regulatory matters, and commercial activities.
- Stay ahead of legal developments, industry trends, and regulatory frameworks to maintain best practices.
- Oversee external legal counsel and liaise with third parties as needed.
Job Requirements
- Minimum 5 years PQE in corporate law.
- Experience in mergers & acquisitions and financing transactions.
- Fluent in spoken and written English; proficiency in Chinese and Mandarin is advantageous.
- Strong negotiation and contract management skills.
- Excellent communication, interpersonal, and stakeholder management skills.
